PURPOSE OF THE POSITION:

As a Legal Assistant – Corporate at CPKC, you will hold a dynamic role in one of Canada’s oldest and most recognizable companies. In your role you will work on the Office of the Corporate Secretary’s team, which is part of the larger legal services, public affairs and government affairs team.  You will be working in a fast-paced environment, where the work is cutting edge at times, the tasks always changing and the work rewarding.

 Among your many skills, you will provide paralegal, corporate secretarial and, if you have it, records management expertise and support to CPKC and its subsidiary companies in Canada and the United States. While not mandatory, proficiency in French and/or Spanish would be an asset. 

 

POSITION ACCOUNTABILITIES:

  • Serves as the primary point of contact for internal and external stakeholders on all matters pertaining to the Office of the Corporate Secretary
  • Arrange and handle all logistics for Board meetings and events: schedule meetings; draft agendas; develop, compile, and distribute presentation materials
  • Manage the handling of strict deadlines, multiple priorities, and highly confidential information that pertains to the organization
  • Arrange and handle all logistics for board and committee meetings including scheduling meetings, preparation of agendas, meeting materials, as well as cross-pollinating the information to Board and Committee meeting agendas where necessary
  • Liaise with internal stakeholders identifying action items and distributing agendas
  • Assist in the scheduling and preparations of board communications
  • Maintain record of attendance at meeting
  • Any other duties related to the preparation and administration of Board and Committee meetings;
  • Assist in updating and maintaining, corporate minute book records for the Corporation’s Canadian subsidiaries, including Corporate Secretary databases (ALF), file system, shadow minute books, and disclosure binders
  • Respond to information requests and questions on all matters dealt with by the Office of the Corporate Secretary received from external shareholders
  • Other duties as assigned

 

POSITION REQUIREMENTS:

  • Post-Secondary education in Business Administration, Legal Assistant or related field;
  • Minimum of level 1 Government of Alberta Cores filing certificate
  • Possess at least 5  years of experience as a legal assistant in the area of corporation law
  • Proficient in 365 Microsoft Office package including SharePoint, Word, Excel, Outlook and PowerPoint
  • Experience with Diligent and Shareworks platforms preferred
  • Excellent administrative, analytical, research and communication skills and experience
  • Understanding of common legal documents relating to corporations, including shareholder agreements, partnership agreements, leases, share purchase agreements and joint venture agreements
  • Broad knowledge of a corporation's structure and ability to interpret regulations
  • Tact, diplomacy, good judgment and strong interpersonal skills are required in the handling of information of a confidential nature
  • Attention to detail is a must
  • Ability to prioritize and manage time to accomplish several tasks simultaneously
  • Ability to adapt quickly and maintain a high level of organization in a fast-paced environment
  • Must have excellent cross-functional skills and be willing to work as part of the corporate secretarial team as well as with the broader CPKC team, including with the finance, corporate risk, compensation and internal audit departments

Management Conductor Program:
