PURPOSE OF THE POSITION:

Legal Services is looking for a candidate to fill a Legal Counsel position, reporting to the General Counsel - US.  The overarching purpose is to deliver legal services to the corporation in all areas of law arising in the US. 

 

 POSITION ACCOUNTABILITIES:

  • Provide proactive business-oriented legal advice to the corporation at all levels. Initial focus largely on commercial and regulatory matters, while gaining experience in other areas of railroad law;
  • Assist other inside counsel on major cases, acquisitions, mergers, divestitures and public financing;
  • Accountable for researching legal matters, providing legal opinions, preparing commercial contracts, litigation management and direct handling of some cases;
  • Prepares contracts and documents related to company operations in the US;
  • Coordinates work for outside legal counsel:
    • Provides instructions, direction and oversight to outside counsel in their performance of Canadian Pacific legal work
    • Educates outside counsel as to the needs and expectations of Canadian Pacific in the performance of its legal work
    • Reviews work performed by outside counsel
  • Directs & manages outsourced files and outside counsel in areas of specialty to ensure that legal services are provided to Canadian Pacific in a manner consistent with CP policies and objectives;
  • Accountable for independent handling and case management of significant legal files from presentation of the legal issue through to conclusion of the file.

 

POSITION REQUIREMENTS:

  • Graduate of a recognized law school and admission to bar in one or more states in which CP operates;
  • Working knowledge of business and regulatory environment that railways operate in and of business law principles. Developing ability to apply applicable legal principles to Canadian Pacific business and operations, and to translate into proactive, strategic advice for senior officers;
  • 6 to 12 years of legal practice is preferred;
  • Experience in railroad law is desirable;
  • Ability to communicate legal principles, and explain business ramifications of such principles, to non-lawyers;
  • Demonstrated ability to develop, implement, review and monitor policies;
  • Manage relationships with outside counsel;
  • Managerial leadership skills, including team building and management skills;
  • Demonstrated organizational skills through experience directing a high volume of work;
  • Demonstrated experience in participating in transactions and commercial arrangements and achieving successful results.

Management Conductor Program:
